After the match, communication between the buyer and seller becomes their responsibility, and they often choose a common language like English for their negotiations. About Member Registration / Login

Anyone involved in business-to-business (B2B) transactions or mergers and acquisitions (M&A) can register as a GMAJOR member. This includes business owners, corporate executives, entrepreneurs, investors, and professionals looking to expand their business networks, seek investment opportunities, or engage in corporate acquisitions and mergers. GMAJOR is designed to facilitate connections and negotiations among businesses of all sizes and industries, providing a platform for efficient and effective B2B and M&A matching.

Yes, membership registration on GMAJOR is completely free. This includes access to all of our features, such as multilingual chat, RFQ (Request for Quotation), and bulk proposals. We believe in providing a comprehensive platform for B2B and M&A matching without any cost barriers, ensuring that all users can fully benefit from our services.

You must have already registered as a member of GMAJOR with the email address you entered.

At GMAJOR, both as a B2B matching platform and an M&A matching platform, verifying your identity is crucial to ensure the security and integrity of our services. Here’s why:

In M&A and business succession, confidentiality is of the utmost importance since sensitive information such as financial statements are exchanged. It is strictly prohibited to impersonate someone's identity and maliciously leak confidential information about the other party. This is why we need to verify your identity.

Additionally, in the context of B2B matching, verifying identities helps us maintain a trustworthy and secure environment. It prevents fraudulent activities and ensures that all participants are legitimate businesses and individuals.

While some M&A services may not require identification, the risk of trouble and data breaches is extremely high in such cases. At GMAJOR, we thoroughly check and screen the identity of our users, allowing you to proceed with negotiations and business dealings with peace of mind.

By implementing these rigorous verification processes, we protect the confidentiality and integrity of the information shared on our platform, ensuring a secure and reliable experience for all our users.

Please prepare one of following ID photos taken by smartphone or other means: Driver's license (both sides) / ID card (both sides) or one of company document such as: Copy of notification of opening/closing of business / Blue tax return financial statement / White tax return financial statement 1st page / Real estate rental contract / One of the URLs of the homepage.

At GMAJOR, users are only allowed to use the advanced functions such as: matching with other users, view product details, view project information after completing the identity verification process.

Identity verification will be automatically processed by GMAJOR registration system. After the registration process is completed, the identity verification is also concluded.

About Registration Of Sale Items

Please press the button Post on the Dashboard seller-only page. After that, follow the guide to enter information about your company / business or your product, and you will be able to register your sale item.

At the time of registration of a project or a product for sale on GMAJOR, you can register without any documents.

On the other hand, once matching with a buyer begins, you will be required to disclose various information, such as financial statements for three fiscal years, a list of business partners, and a list of employees.

There are some restrictions:

Companies and business forms:

  • We do not accept registration from certain types of corporations such as NPOs, general foundations, general incorporated associations, public interest incorporated associations, public interest incorporated foundations, and religious organizations, as we do not believe that it is appropriate for them to buy or sell from the standpoint of public interest.
  • Companies and businesses that are dormant or have no actual business status are also not eligible for registration.
  • Registration of properties that are not used or that only transfer antiques is also not permitted.

Type of business

In principle, businesses/products related to the sex industry are not allowed to register. Businesses/products that are offensive to public order and morals or have ties to antisocial forces are also prohibited from registration.

To register with GMAJOR, you can simply select a range for some major accounts, such as sales and operating income, to be posted on the site.

Only the seller himself/herself entrusted by the seller can register a project/product for sale.

Please understand that to prevent identity theft, you cannot register someone you know on your behalf.

Information that could lead to your identification or your real name will not be made public on the GMAJOR website.

Specifically, items marked as confidential when registering a project/product for sale will not be made public.

Only buyers who agree to the disclosure of their real names will have their real name information disclosed upon prior pledge of confidentiality.

Personal information such as contact information (cell phone number, e-mail address, etc.) will not be disclosed, but will be used only for the purpose of verification by the GMAJOR headquarters.

After you have been verified and screened, if you want to change your company information or other information on a for-sale project/product after it has been published, you will need to move to My account screen.

If you wish to edit items by yourself, please go to Dashboard, select the Edit button of the for-sale project/product you wish to edit and start edting, or you can contact GMAJOR Customer Center to inform us of the edits you wish to make, after that we will support you step by step.

How To Proceed As A Seller?

After registering a project for sale, we proceed in the following steps: matching, top-level interviews, basic agreement, corporate research (due diligence), and final contract.

It varies depending on many aspects like the quality of your projects/products, number of currently online users. And of course, there are many people who are negotiating with dozens of potential buyers at the same time.

Yes, at GMAJOR, you can negotiate with multiple buyers simultaneously, whether they are M&A buyers or B2B buyers. Our platform is designed to facilitate multiple negotiations, allowing you to explore various opportunities and make informed decisions.

For M&A transactions, this approach can help you gauge different offers and strategies, ensuring you secure the best possible deal for your business. For B2B transactions, negotiating with multiple buyers can help you find the most advantageous partnerships and contracts.

Our system is equipped to handle multiple concurrent negotiations efficiently, ensuring that all interactions are secure and confidential. By managing multiple negotiations, you can maximize your opportunities and achieve the best outcomes for your business.

In general, conditions that make it easier to conclude a contract include having a positive normal income and having little financial debt.

(However, this is not the case with GMAJOR, as there have been multiple cases of contracts being concluded even in the red or with excessive debt.)

The conditions for attracting buyer candidates through matching are value of the company/business (financial information) and request for transfer. This means that the amount of money is balanced.

At GMAJOR, we tend to find many matches for deals where the desired transfer amount is around net assets + 1-2 years worth of operating income.

When a buyer requests to disclose his/her real name, you will be able to see all of his/her information, including the buyer's real name.

You can also ask questions before accepting or rejecting the offer.

Since matching with a potential buyer is a once-in-a-lifetime event, we recommend that you actively negotiate with the potential buyer using his or her real name.

As a precondition, GMAJOR asks both sellers and buyers to respond to our messages with speedy replies and business manners.

If you do not receive a response from the negotiating party, or if you feel that the response is too late, please try sending another message.

If you still do not receive a response from the buyer, you may consider the buyer to be less willing to accept the property and discontinue negotiations with him or her.

You can cancel negotiations by updating the status of negotiations with the buyer in the Contacts list and clicking the Unsuccess button.

Please note that once you cancel the negotiation, you will not be able to resume the negotiation with the same buyer.

Generally, they may step down or continue to remain with the company in an advisory capacity.

You will be asked to inform us of your wishes and discuss them with the buyer.

When a buyer requests to disclose his/her real name, you will be able to see all of his/her information, including the buyer's real name.

You can also ask questions before accepting or rejecting the offer.

Since matching with a potential buyer is a once-in-a-lifetime event, we recommend that you actively negotiate with the potential buyer using his or her real name.

Please go to Product list or Project list in Dashboard screen and select the for-sale item you would like to end your listing of, and then use the Contact Us form to inform us that you would like to end your listing.

We will process your request to end the offering within one business day.

Regarding Buyer Information Registration?

Please click on the Register button on the GMAJOR site.

You will be guided through the process of entering your own and your company's information to register your buyer's information and buying needs.

Any information you register will not be made public on the Buttons website.

When asking questions about a sale, buyer information other than the real name and buyer needs information will be disclosed only to the seller.

When you request disclosure of your real name, your real name information will only be disclosed to the seller.

Personal information such as contact information (mobile phone number, email address, etc.) will be used for confirmation by Buttons headquarters and will not be disclosed. Please also see here for information disclosed by negotiation status.

Please be assured that neither GMAJOR nor the seller will ever contact your employer.

We ask individuals in particular to enter their buyer information, including their employer information, as this will increase the likelihood that the seller will agree to a request for disclosure of their real name.

From the Manage Account menu, you can edit basic information, and buyer needs.

Click on the UPDATE button to edit the information.

Currently, you can’t change your account from seller to buyer.

How To Proceed With The Buyer?

After registering as a member and registering buying needs, the process proceeds in the following steps: matching (searching for selling deals, asking questions, and requesting disclosure of real names), top management interview, basic agreement, company survey, and final contract.

After verifying your identity, you can directly ask questions or request the disclosure of the real name of the seller you are interested in.

Questions that may lead to the identification of the seller are not allowed, as they have not yet been sworn to secrecy.

If the seller agrees to the confidentiality pledge and the real name disclosure request is accepted, the real name information will be disclosed.

In real-name negotiations, documents such as financial statements, a list of business partners, and a list of employees can be exchanged.

If you register your buying needs information with GMAJOR, you will be notified by email when new sales that match your needs are posted on our website.

Disclosure of real name information is a major decision for sellers, and may be denied for reasons such as inability to visualize what will happen after the transfer.

Please understand this beforehand.

Although GMAJOR provides everyone with a general model of a basic agreement or assignment agreement, we recommend that you draft the document with the advice of a support specialist.

The basic agreement or assignment agreement may contain provisions that are very important to both the seller and the buyer, such as indemnification clauses in the event that disclosed information is not true.

It is not possible to make contact with sales opportunities that have ended.

As a precondition, GMAJOR asks both sellers and buyers to respond with speedy replies and business manners.

If you do not receive a response from the negotiating party, or if you feel that the response is too late, please try sending another message.

If the seller still does not respond, you may discontinue negotiations with that person.

Negotiations cannot be resumed.

Please note that once negotiations have been suspended or a request for disclosure of real names has been sent off, it is no longer possible to ask questions or request disclosure of real names from the same seller.

You can cancel negotiations by selecting the seller you wish to negotiate with in the Contacts and update status of negotiation by clicking Unsuccess.

This is prohibited under the confidentiality agreement.

Even on a consultation basis, it is a breach of contract to disclose information about a project for sale to a friend or acquaintance.

Please be aware that there is a possibility of a claim for damages due to information leakage.

About The Contract

The closing price is the consideration paid by the buyer to the seller in multiple transaction formats such as M&A and P/S.

The expressions transfer price and transfer amount are also synonymous.

In connection with the execution of M&A, P/S, if the payment of retirement benefits for directors, repayment of directors' loans, transfer of real estate owned by the seller, dividends, acquisition of own stock, security deposits or security deposits, etc., are deemed to be substantial consideration, This amount is also included in the closing price.

We ask that you submit a report and a copy of the final contract within three business days from the date the final contract was established.

We ask for your cooperation in case studies, but your cooperation is voluntary.

If you would like to cooperate, we will be able to respond either under your real name or anonymously.
